The rules of using Drops.

These Terms of Service (“Terms”) govern your use of Drops (drops.servdchefs.com and the ordering widget embedded on a chef’s own site — together, the “Platform”), operated by Servd LLC (“we,” “us,” or “our”). By creating a chef account, or by placing an order through the Platform, you agree to these Terms.

If you’re a chef, you’re also bound by anything you’ve separately agreed to with Stripe as part of connecting a Stripe account — these Terms don’t replace that agreement.

Drops is one of two products Servd LLC operates. The other, SERVD, is a marketplace for booking private chefs for in-home dinners. The two are separate products with separate terms — using one doesn’t bind you to the other’s — but they’re operated by the same company, under the same contact addresses below.

You must be at least 18 years old to create a chef account or to place an order. You’re responsible for any activity that happens under your own chef account, and for keeping your login credentials to yourself.

Drops is an ordering tool. A chef uses it to list items, set up a drop (a pickup or delivery window), and take orders — either directly on drops.servdchefs.com or embedded on the chef’s own website. Drops is not a marketplace: we don’t list, recommend, or match diners with chefs, and we don’t review, inspect, or certify any chef’s food, kitchen, licensing, or permits.

Every chef using the Platform is solely responsible for complying with the food-safety, health-permit, and business- licensing laws that apply to them in their own city, county, and state. We don’t verify this, and using Drops doesn’t imply that we have.

A chef account lets you build a catalog, publish drops, and take orders. To accept card payments or receive payouts, you must connect a Stripe account through Stripe Connect — Stripe, not Drops, verifies your identity and handles your payout information directly.

Drops charges a service fee on card orders, shown to the diner at checkout as a separate line item — see the current rate on our homepage. We may change this fee prospectively, with notice to chefs before it applies to new orders. A chef may also accept orders offline (cash or a card reader at pickup), in which case no Drops service fee applies to that order.

When you place an order through Drops, you’re entering into a direct agreement with the chef for that food — Drops is not a party to that sale. The chef sets their own menu, pricing, availability, and pickup or delivery details for each drop; we don’t control or guarantee any of that.

Card payments are processed by Stripe at the time you place your order. If a chef offers pay-at-pickup, no charge occurs until you pay the chef directly.

Cancellation and refund policies for a specific order are set by the chef who took it, not by Drops — check the drop’s own listed cutoff time before you order. If a chef cancels an order or a drop after payment, any refund is issued back through Stripe to your original payment method.

If you believe you were charged in error, contact the chef first; if that doesn’t resolve it, write us at chefs@servdchefs.com.

Any allergen or dietary information shown on the Platform is provided by the chef, not verified by us. If you have a food allergy or a medical dietary restriction, confirm directly with the chef before ordering — Drops has no visibility into how any item was actually prepared.

A chef retains ownership of the photos, descriptions, and other content they upload to their catalog, and grants us a license to display it on the Platform (including inside their own embedded widget) for as long as their account is active. The Drops name, logo, and Platform software are owned by Servd LLC.

You agree not to:

• Use the Platform for anything unlawful.
• Misrepresent a catalog item, its ingredients, or its preparation in a way that could put a diner’s health at risk.
• Attempt to charge a diner outside of what Stripe or an offline payment collected on the Platform reflects.
• Interfere with, reverse-engineer, or attempt to disrupt the Platform or the embed widget.
• Use the Platform to harass, defraud, or collect information about another user beyond what’s needed to fulfill an order.

THE PLATFORM IS PROVIDED “AS IS” WITHOUT WARRANTIES OF ANY KIND, EXPRESS OR IMPLIED. WE DON’T WARRANT THAT THE PLATFORM WILL BE UNINTERRUPTED, ERROR-FREE, OR SECURE, OR THAT ANY FOOD SOLD THROUGH IT MEETS ANY PARTICULAR STANDARD — THAT RESPONSIBILITY BELONGS TO THE CHEF WHO PREPARED IT.

TO THE MAXIMUM EXTENT PERMITTED BY LAW, SERVD LLC WILL NOT BE LIABLE FOR ANY INDIRECT, INCIDENTAL, SPECIAL, OR CONSEQUENTIAL DAMAGES ARISING FROM YOUR USE OF THE PLATFORM, OR FROM ANY ORDER, FOOD, OR TRANSACTION BETWEEN A CHEF AND A DINER. OUR TOTAL LIABILITY FOR ANY CLAIM RELATING TO THE PLATFORM IS LIMITED TO THE SERVICE FEES WE ACTUALLY RECEIVED ON THE ORDER GIVING RISE TO THE CLAIM, OR $100, WHICHEVER IS GREATER.

You agree to defend, indemnify, and hold harmless Servd LLC, its affiliates, and their respective officers, directors, employees, and agents from any claim, liability, damage, loss, or expense (including reasonable attorneys’ fees) arising from your own violation of these Terms, your food or catalog content (if you’re a chef), or your use of the Platform.

Talk to us first. Before filing a formal claim against us, you agree to try to resolve the dispute by writing legal@servdchefs.com. We’ll work in good faith to resolve it within 30 days.

Binding arbitration. If that doesn’t resolve it, you and Servd LLC agree to resolve the dispute through binding arbitration administered by JAMS under its Comprehensive Arbitration Rules and Procedures, conducted in the city of Servd LLC’s principal place of business or by video conference at your option. The arbitrator’s decision is final.

No class actions. Any dispute will be resolved on an individual basis only — neither party may bring a claim as a plaintiff or class member in a class or representative action.

Exceptions. Either party may bring an individual claim in small-claims court, or seek injunctive relief in court to protect intellectual property rights.

Opt-out. You may opt out of this arbitration provision by writing legal@servdchefs.com within 30 days of first agreeing to these Terms, with your name, email, and a clear statement that you’re opting out.

We may suspend or terminate a chef account for violating these Terms, for suspected fraud, or for a Stripe Connect account that loses its ability to accept payments. A chef may close their own account at any time from Settings.

Governing law. These Terms are governed by the laws of the State of Colorado, without regard to its conflict-of-laws principles.

Entire agreement. These Terms, together with our Privacy Policy, are the entire agreement between you and Servd LLC regarding the Platform.

Severability. If any provision of these Terms is found unenforceable, the remaining provisions continue in full effect.

No waiver. Our failure to enforce any provision isn’t a waiver of our right to do so later.

Assignment. You may not assign these Terms. We may assign them in connection with a merger, acquisition, or sale of assets.

We may update these Terms from time to time — see the effective date at the top of this page.
